Terms of Use

These Terms of Use ("Terms") are an agreement between you and Valovian LLC ("Valovian," "we," "us") and govern your use of Tally Delta — the Excel add-in, tallydelta.com, and related services (together, the "Service"). This document also serves as the End User License Agreement (EULA) for the Tally Delta add-in. By installing, signing in to, or using Tally Delta, you agree to these Terms.

1. The license

Subject to these Terms and payment of any applicable subscription fees, Valovian grants you a limited, non-exclusive, non-transferable license to install and use the Tally Delta add-in for your own internal business or personal purposes. This license doesn't give you any ownership of the software itself.

2. Accounts

You sign in to Tally Delta with your email address using a one-time code — there's no separate password to manage. You're responsible for maintaining control of the email account used to sign in, and for all activity that happens under your account.

3. Subscriptions and billing

• Tally Delta is offered on Monthly and Annual subscription plans. Current pricing is shown at checkout on tallydelta.com.
• Subscriptions automatically renew at the end of each billing period unless cancelled beforehand.
• You can cancel, or upgrade from Monthly to Annual, at any time from your Account page. Cancelling stops future renewals; it doesn't refund the current billing period unless required by law.
• All payments are processed by Stripe. Valovian never receives or stores your card details.

4. Device limit

An active subscription may be used on up to 2 computers at a time. If you reach this limit, Tally Delta lets you remove an existing computer from within the add-in to free a slot for a new one. We may change this limit in the future; if we do, we won't reduce it for your existing subscription without notice.

5. Your data

Tally Delta's comparison features run entirely inside Excel, on your own computer; your workbook data is never uploaded to or processed by Valovian's servers. See our Privacy Policy for the full detail on what account-level information we do collect.

6. Acceptable use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the add-in, except where applicable law expressly permits it.
• Resell, sublicense, or provide the Service to third parties as your own product.
• Share a single account across more computers than your plan allows, or otherwise circumvent the device limit or subscription enforcement.
• Use the Service in any way that violates applicable law or infringes anyone else's rights.

7. Intellectual property

Tally Delta, its code, design, and branding are owned by Valovian LLC. These Terms don't transfer any of that ownership to you — only the limited right to use the Service as described above.

8. Disclaimer of warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Valovian disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or that comparison results will be free of defects — you're responsible for reviewing results before relying on them.

9. Limitation of liability

To the fullest extent permitted by law, Valovian LLC won't be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising from your use of the Service. Our total liability for any claim relating to the Service won't exceed the amount you paid us in the 12 months before the claim arose.

10. Termination

You may stop using Tally Delta and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, including the acceptable-use section above.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the date at the top of this page. Continuing to use Tally Delta after a change means you accept the updated Terms. Per our policies, changes to pricing or plan terms won't reduce the functionality already available to existing subscribers under their current plan.

12. Governing law

These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-law principles.
